I don't consider it Noir, first of all due to the title--maybe a little too hopeful?
But it has a really entertaining number of noir elements--amnesia, an assumed identity, a return from the dead, an heiress in distress, the house by the stormy sea, the suitcase that holds secrets, flashbacks--it even has some gothic elements--a strange character in a wheelchair with a bandaged head.
The protagonist is caught up in events, just as so often happens in traditional noir, but i found the end not Noir--don't want to spoil it for anyone who hasn't seen it.
The cinematography is great--lots of scenes are filtered in green or blue--really adds to the noir mood--very effective.
